Acceleware Announces Private Placement

Calgary, Alberta - October 16, 2006 - Acceleware Corp. (the "Corporation" or "Acceleware") (trading symbol "AXE" TSXV) is pleased to announce that it intends to complete a non-brokered private placement of up to 250,000 units (each a Unit) at a price of $0.60 per Unit for gross proceeds of $150,000. Each Unit will consist of one common share and one common share purchase warrant. Each whole warrant is exercisable into one common share at a price of $0.96 per common share for a period of 12 months for the issuance of the warrants. The completion of the private placement is subject to TSX Venture Exchange Inc. approval and other regulatory approval.

Proceeds of the private placement will be used for general corporate purposes and to increase the Corporation's working capital. It is anticipated that the subscribers for the offering will be the directors, officers and employees of the Corporation. It is not anticipated that any new insiders will be created, nor that any change of control will occur as a result of the private placement.
